Temper Terms of Service

These terms are an agreement between you and Noflow, LLC, a Delaware limited liability company doing business as Temper ("Temper", "we", "us"), about your use of the Temper platform, console, API and SDKs (the "Service"). If you use the Service for an organization, you accept these terms for that organization.
1. The Service
Temper provides software companies ("Developers") with cloud environments in which AI agents work on behalf of the Developer's users ("End Users"), together with tools to connect End Users' accounts, require approval for high-risk actions, and review audit records.
2. Accounts
You must provide accurate information, keep API keys and webhook signing secrets confidential, and are responsible for activity under your account. Tell us promptly at sales@temper.im if you believe a key or account has been compromised; you can revoke keys in the console at any time.
3. Developer responsibilities
If you are a Developer, you agree to:
- have your own terms and privacy policy for your End Users that accurately describe how your product, the Agent and Temper use their data, and obtain any consents required by law;
- when you register your own Google or Slack OAuth application with Temper, complete the verification and security assessments those providers require, and comply with their policies, including the Google API Services User Data Policy (with its Limited Use requirements) and the Slack API Terms;
- present approval requests to the End User truthfully and let the End User decide; not approve high-risk actions automatically on the End User's behalf without their informed agreement;
- configure network allowlists, policies and spending limits appropriate to your product;
- not use End User data obtained through the Service for advertising, sale, or training generalized AI models.
4. Acceptable use
You may not use the Service to: break the law or infringe others' rights; send spam or unsolicited messages; access accounts or data without authorization; attack, probe or overload the Service or others' systems (except authorized security testing coordinated with us at sales@temper.im); mine cryptocurrency; host malware; or attempt to break isolation between environments. We may suspend environments that violate these terms or threaten the Service, and will tell you why.
5. Your data
You keep all rights to the data you and your End Users put into the Service ("Customer Data"). You give us permission to host, process and transmit Customer Data only as needed to provide, secure and support the Service, as described in our Privacy Policy. We do not sell Customer Data or use it to train generalized AI models.
When you delete an environment, we delete its disk and backups; the data cannot be recovered after 24 hours. You can read and copy files out of an environment through the API at any time before you delete it.
6. Third-party services
The Service connects to services we do not control (Google, Slack, AI model providers, websites the Agent visits). Your use of them is subject to their terms. We are not responsible for their availability or actions.
7. AI output
Agents are driven by AI models and can make mistakes. You are responsible for how your product uses Agent output. High-risk actions are routed for approval, but approval is only as good as the decision made on it.
8. Fees
The Service is currently provided without charge to design partners. Before we charge you anything, we will agree the fees with you in writing. Usage limits you set are enforced by suspending environments, as described in the documentation.
9. Availability and changes
We do not currently offer a service level commitment. We may change the Service; we will give reasonable notice of changes that materially reduce functionality, and of changes to these terms.
10. Suspension and termination
You may stop using the Service at any time. We may suspend or terminate access for material breach, non-payment, or to protect the Service or others, with notice where practical. After termination we keep Customer Data for 30 days so you can retrieve it, then delete it.
11. Warranties, liability, indemnity
The Service is provided "as is" and "as available". To the extent the law allows, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose and non-infringement.
To the extent the law allows, neither party is liable for indirect, incidental, special, consequential or punitive damages, or for lost profits or data, and our total liability under these terms is limited to the greater of the amounts you paid us for the Service in the 12 months before the claim and US $100.
You will defend and indemnify us against third-party claims arising from your product, your End Users' use of it, or your breach of these terms.
12. General
These terms are governed by the laws of the State of Delaware, USA, without regard to its conflict-of-law rules, and disputes will be resolved in the state or federal courts located in Delaware. We send notices to the email address on your account; send notices to us at sales@temper.im. Neither party may assign these terms without the other's consent, except to a successor in a merger, acquisition or sale of assets. These terms and the Privacy Policy are the entire agreement between us about the Service.
